Terms of Service

These Terms of Service ("Terms") govern your use of the Propkaki platform, including our web application, public listing pages, and all related services (collectively, the "Services"), operated by Straits Intelligence Pte. Ltd. (UEN: 202615220E), trading as Propkaki ("Propkaki", "we", "us", or "our"), a company incorporated in Singapore.

By registering for an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.

We reserve the right to update these Terms at any time. We will notify you of material changes via your registered WhatsApp number or the email address on your account. Continued use of the Services after notice constitutes acceptance of the updated Terms.

Propkaki is a technology platform that provides software tools and services to CEA-registered Real Estate Salespersons. Straits Intelligence Pte. Ltd. (operating as Propkaki) is not a licensed estate agency and does not conduct estate agency work as defined under the Estate Agents Act 2010 ("EA Act").

Propkaki does not introduce, negotiate, or facilitate property transactions on behalf of any party. All property marketing, client relationships, negotiations, and transactions are conducted solely by the registered RES using the platform and are governed exclusively by the EA Act, CEA regulations, and the terms of the RES's appointment with their supervising estate agent.

Nothing in these Terms or the Services constitutes estate agency work by Propkaki. Propkaki is not responsible for any property transaction, representation, or act or omission of any RES or property enquirer using the Services.

The Services are exclusively available to individuals who hold a valid and active registration as a Real Estate Salesperson (RES) with the Council for Estate Agencies ("CEA") in Singapore.

By registering, you represent and warrant that:

• You are at least 21 years of age;
• You hold a valid, active CEA RES registration at the time of sign-up and at all times during your use of the Services;
• All information you provide during registration, including your CEA registration number, is accurate and complete;
• You will promptly notify us if your CEA registration is suspended, revoked, or expires.

Propkaki verifies CEA registration status against the official CEA public registry at sign-up and on a daily basis thereafter. Use of the Services by any person not holding a valid CEA RES registration is strictly prohibited.

To access the Services, you must register an account using your Singapore WhatsApp number and CEA registration number. A one-time password (OTP) will be sent to your WhatsApp number for verification.

You are responsible for:

• Maintaining the confidentiality of your account credentials and password;
• All activity that occurs under your account;
• Notifying us immediately of any unauthorised access to your account.

Accounts are personal and non-transferable. You may not share your account with any other person or use any other person's account.

Propkaki performs automated daily checks of your CEA registration status against the official CEA registry. Your account may be suspended without prior notice in the following circumstances:

• Your CEA registration is revoked, suspended, or cancelled by CEA;
• Your CEA registration expires and is not renewed;
• Your registration no longer appears in the CEA public registry for any reason;
• You are found to have provided false CEA registration details at sign-up.

Where your CEA registration is due to expire, we will endeavour to send you reminder notifications at approximately 30, 14, and 7 days before the expiry date. However, we do not guarantee the delivery of such notifications and you remain solely responsible for renewing your CEA registration in a timely manner.

No refund of subscription fees will be provided upon account suspension arising from the lapse, expiry, revocation, or suspension of your CEA registration. You acknowledged and agreed to this condition at sign-up.

Your account will be automatically reinstated when your CEA registration is confirmed as active in the CEA registry, without requiring manual action on your part.

Propkaki offers the following subscription plans (pricing subject to change):

• Free — limited features, no charge;
• Starter — SGD 29/month;
• Pro — SGD 79/month;
• Growth — SGD 149/month.

Annual subscriptions are available at a discounted rate. All fees are quoted in Singapore Dollars and are exclusive of Goods and Services Tax (GST), where applicable. GST will be charged at the prevailing rate.

Subscriptions are billed in advance on a monthly or annual basis from your subscription commencement date and will automatically renew at the end of each billing period unless cancelled before the renewal date.

Payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you authorise Stripe to charge your payment method on a recurring basis. Propkaki does not store your full card or bank account details.

All fees paid to Propkaki are strictly non-refundable, except as required by applicable Singapore law. This includes but is not limited to:

• Cancellation of a subscription at any time during a billing period;
• Termination of an account (whether by you or by Propkaki);
• Suspension of an account due to CEA registration lapse or violation of these Terms;
• Non-use or partial use of the Services during a billing period;
• Unused AI credits or listing slots at the end of a billing period.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then.

Subject to these Terms, Propkaki grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your personal professional activities as a CEA-registered RES in Singapore.

You must not:

• Use the Services if your CEA registration is inactive, suspended, revoked, or expired;
• Share your account credentials with any other person;
• Use automated tools, bots, scrapers, or scripts to access or extract data from the Services;
• Reproduce, redistribute, or republish any data or content from the Services without our express written consent;
• Use the Services to send unsolicited commercial communications to any person;
• Upload, post, or transmit any content that is false, misleading, defamatory, obscene, or in violation of any applicable law;
• Publish listings for properties you do not have the authority to market;
• Circumvent any security, access control, or usage restriction within the Services;
• Use the Services in any manner that could damage, disable, overburden, or impair our systems or networks.

All intellectual property rights in the Services, including our software, platform design, AI models, brand assets, and documentation, are owned by or licensed to Propkaki. Nothing in these Terms transfers any intellectual property rights to you.

Licence grant from you: By uploading or submitting any content to the Services (including property listings, photos, descriptions, and lead information), you grant Propkaki a non-exclusive, worldwide, royalty-free licence to store, process, display, and use such content for the purpose of providing the Services, including generating AI-assisted content derived from your inputs. This licence terminates when you delete the content or close your account, except where retention is required by law.

You represent and warrant that you own or have all necessary rights and licences to any content you submit, including photographs of properties, and that such content does not infringe the intellectual property or other rights of any third party.

Propkaki uses artificial intelligence tools to generate WhatsApp message drafts, listing descriptions, ad copy, and other content (collectively, "AI Content"). The primary AI provider is Google Gemini. An alternative AI provider (Anthropic Claude) may optionally be used; its availability depends on platform configuration and may not be active at all times.

You acknowledge and agree that:

• AI Content is generated automatically and may contain errors, inaccuracies, or content that is not appropriate for all situations;
• You are solely responsible for reviewing, editing, and approving all AI Content before use;
• Propkaki makes no representation or warranty regarding the accuracy, suitability, or fitness for purpose of any AI Content;
• You must not represent AI Content as independently verified fact;
• When you use the AI drafting features, inputs (including lead information and listing details) may be transmitted to third-party AI providers outside Singapore. Refer to our Privacy Policy for details.

You are solely responsible for all listing content you publish through the Services. All listings must:

• Be accurate, complete, and not misleading;
• Relate to a property you are authorised by the owner to market;
• Comply with CEA guidelines on property advertising;
• Not infringe any third-party intellectual property rights;
• Comply with all applicable Singapore laws, including the Estate Agents Act and PDPA.

Propkaki reserves the right to remove any listing that violates these standards or applicable law, without notice and without liability to you.

When property enquirers submit an enquiry through your public listing page, their personal data is collected by Propkaki on your behalf. You acknowledge and agree that:

• You will use prospect personal data only for the purpose of following up on the specific property enquiry;
• You will not use prospect data for unsolicited marketing, unless you have obtained separate consent from the prospect;
• You will comply with the Personal Data Protection Act 2012 ("PDPA") in your handling of all prospect personal data;
• You will honour any data access, correction, or deletion request from a prospect in a timely manner.

The Services integrate with third-party services including Stripe (payments), Google Gemini (primary AI provider), WhatsApp/Meta (OTP authentication), and data.gov.sg (CEA registry). An optional integration with Anthropic Claude (alternative AI provider) may also be active depending on platform configuration. Your use of these integrations is subject to the respective third parties' terms and privacy policies. Propkaki is not responsible for the availability, accuracy, or conduct of any third-party service.

By you: You may close your account at any time by contacting us or through your account settings. Closing your account does not entitle you to any refund of pre-paid fees.

By us: We may suspend or terminate your account and access to the Services immediately, without notice or liability, if:

• Your CEA registration lapses, expires, or is revoked;
• You breach any provision of these Terms;
• We are required to do so by applicable law or a regulatory authority;
• We reasonably suspect fraudulent, abusive, or illegal conduct on your account.

Upon termination, your right to access the Services ceases immediately. Sections 7, 10, 16, 17, 18, and 19 of these Terms survive termination.

To the maximum extent permitted by applicable Singapore law, the Services are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.

Propkaki does not warrant that: (a) the Services will be error-free or uninterrupted; (b) any AI Content will be accurate or suitable for any purpose; (c) the Services will meet your specific requirements.

To the maximum extent permitted by applicable Singapore law, Propkaki's total aggregate liability to you for any claim arising out of or relating to these Terms or the Services (whether in contract, tort, negligence, or otherwise) shall not exceed the total subscription fees actually paid by you to Propkaki in the 12 months immediately preceding the event giving rise to the claim.

In no event shall Propkaki be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such loss.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by Singapore law.

You agree to indemnify, defend, and hold harmless Propkaki and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use or misuse of the Services;
• Your breach of these Terms;
• Any content you submit, including listings, photos, and descriptions;
• Your violation of any applicable law or regulation, including CEA guidelines and the PDPA;
• Any claim by a third party arising from your use of AI Content.

These Terms are governed by and shall be construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Singapore.

• Entire agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and Propkaki relating to the Services and supersede all prior agreements.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
• Language: These Terms are written in English. In the event of any conflict between an English version and a translation, the English version shall prevail.
